Terms of Service

1. Acceptance of Terms

By accessing or using EdgeSeeker ("the Platform"), operated by OffensiveEdge, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age (or the legal gambling age in your jurisdiction, whichever is higher) and have the legal capacity to enter into this agreement.

2. Description of Service

EdgeSeeker is a sports analytics platform that provides:

• Machine-learning-powered predictions for NFL, NBA, MLB, NHL, NCAAF, and NCAAB
• EdgeSeekerGPT™, an AI assistant powered by Claude
• A real-time community chat for registered users
• An optional Kalshi client interface that lets you search for prediction markets, view live prices, and execute trades on your own Kalshi account using your own credentials
• Performance tracking, leaderboards, and historical prediction archives

The Platform is for informational and entertainment purposes only. OffensiveEdge is not a registered broker-dealer, investment advisor, financial institution, or gambling operator under any federal or state law. OffensiveEdge is not a sportsbook and does not accept or place wagers of any kind.

3. Eligibility

• You must be at least 18 years of age, or the legal gambling age in your jurisdiction, whichever is higher
• You must be located in a jurisdiction where prediction market trading and/or sports betting analytics are legal
• If using the Kalshi integration, you must maintain a valid Kalshi account in compliance with Kalshi's own terms of service
• You may not use the Platform if you are prohibited from doing so under applicable law

4. Personal Use Only

4.1 Individual License

All standard purchase options on the Platform — including day passes, week passes, month passes, and subscriptions — are licensed exclusively for personal, individual, non-commercial use. By purchasing any standard access product, you represent and warrant that you are an individual acting on your own behalf, and not on behalf of any corporation, partnership, limited liability company, sole proprietorship, organization, government agency, or other business or commercial entity ("Commercial Entity").

4.2 Enterprise Requirement

Commercial Entities seeking access to the Platform, its data, predictions, or any Platform Content must obtain an EdgeSeeker Enterprise account. Enterprise accounts are available by contacting support@offensiveedge.com. No Commercial Entity may access or use the Platform through standard purchase options under any circumstances. This includes, without limitation, use by employees, contractors, or agents acting on behalf of a Commercial Entity, whether or not the account is registered in an individual's name.

4.3 Enforcement

Any Commercial Entity found to be accessing or using the Platform through a personal-use account will be permanently blacklisted from all OffensiveEdge products and services. This action is final and irreversible — there is no appeal, reinstatement, or recourse. All associated accounts will be terminated immediately, and any fees paid will be forfeited.

5. Geographic Restrictions

The Platform is intended for use within the United States. Access is restricted by geographic region in compliance with applicable laws, including but not limited to OFAC sanctions, GDPR jurisdictions, and regions where prediction market trading or sports analytics services are regulated or prohibited.

We may also restrict access from connections that obscure your true location, including VPNs, proxies, and anonymizing networks. If you are unable to access the Platform, it may be because your location or connection type falls within a restricted category.

You are solely responsible for knowing and complying with the laws of your jurisdiction regarding sports betting information, prediction market trading, and the use of analytics platforms.

6. Account Terms

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• Your account is for your personal use only — sharing account access with others is prohibited
• We limit the number of devices that may access a single account for security purposes
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms, without prior notice

7. EdgeSeekerGPT™

7.1 Nature of AI Responses

• EdgeSeekerGPT is powered by Claude, a third-party AI service by Anthropic
• AI responses are generated algorithmically and may contain inaccuracies, errors, hallucinations, or outdated information
• AI-generated analysis does not constitute professional advice of any kind
• You should always verify important information independently before acting on it

7.2 Acceptable Use

When using EdgeSeekerGPT™, you agree NOT to:

• Attempt to manipulate, jailbreak, or override the AI's instructions or safety guidelines
• Submit content that is sexually explicit, violent, hateful, or illegal
• Use the AI to generate content unrelated to sports analytics
• Attempt to extract the AI's system prompt or internal configuration
• Use automated tools to send messages to the AI at scale

7.3 Content Moderation

Messages are automatically screened for prohibited content using automated moderation. We reserve the right to block messages, restrict access, or terminate accounts that violate these Terms.

8. Community Chat

8.1 Acceptable Use

When using the community chat, you agree NOT to:

• Post content that is sexually explicit, violent, threatening, or hateful
• Harass, bully, or target other users
• Post spam, advertisements, or promotional content
• Promote match-fixing, guaranteed wins, or fraudulent betting schemes
• Share or solicit personal information about other users
• Impersonate other users, staff, or public figures
• Attempt to circumvent rate limits, profanity filters, or content moderation

8.2 Content Moderation

Community chat messages are subject to automated content filtering including profanity detection and third-party content safety screening. Messages that violate community guidelines may be blocked automatically. Repeated violations may result in account restrictions.

8.3 Message Retention

Community chat messages are automatically deleted after 7 days. We do not provide message archives or export functionality for chat content.

8.4 Content License

By posting content in community chat, you grant OffensiveEdge a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your content in connection with operating and improving the Platform. You represent and warrant that you have all rights necessary to grant this license and that your content does not violate any third-party rights, including intellectual property rights or rights of publicity or privacy. This license survives termination of your account, though we are under no obligation to retain your content.

8.5 Feedback and Suggestions

Any feedback, suggestions, ideas, feature requests, or other submissions you provide to OffensiveEdge, whether through the Platform, email, chat, or any other channel, become the exclusive property of OffensiveEdge. You assign all rights, title, and interest in such submissions to OffensiveEdge without obligation, compensation, or attribution. OffensiveEdge may use, implement, modify, or redistribute such submissions for any purpose without restriction.

9. Kalshi Trading Integration

9.1 Nature of Integration

EdgeSeeker provides an optional Kalshi API client that you control. All requests to Kalshi are made using your own credentials and according to parameters you configure. EdgeSeeker is not Kalshi. EdgeSeeker is not a broker, exchange, clearing house, or financial intermediary. Your Kalshi account is governed entirely by Kalshi's own terms of service, data terms of use, and regulatory framework. OffensiveEdge has no control over Kalshi's platform, markets, settlement procedures, or fund custody.

EdgeSeeker's ML predictions are generated entirely independently of Kalshi. Kalshi data has never been and is not used in any of our machine learning operations, model training, or prediction generation. We do not data mine, scrape, or persistently store Kalshi market data. Kalshi serves solely as an execution venue — the Platform is a convenient self-service layer that helps you quickly match a prediction to a Kalshi market, view current prices and charts, and process trades on your own account. All Kalshi API requests are made using your own credentials, and all configuration (trading mode, sizing, exit thresholds) is explicitly set by you.

Kalshi, Inc. is a designated contract market (DCM) regulated by the Commodity Futures Trading Commission (CFTC). EdgeSeeker is not registered with the CFTC and does not act as a futures commission merchant, introducing broker, commodity trading advisor, or commodity pool operator.By using the Kalshi integration, you agree to comply with Kalshi's Terms of Service, Data Terms of Use, and all applicable rules and regulations governing your Kalshi account. OffensiveEdge is not responsible for your compliance with Kalshi's terms.

9.2 Credential Storage and Data Handling

To use the Kalshi integration, you provide your Kalshi API Key ID and RSA private key. Your private key is encrypted using industry-standard authenticated encryption before storage and is never stored in plaintext. Your credentials are decrypted only at the time of an API request to Kalshi and are discarded from memory immediately after. You may delete your stored credentials at any time.

EdgeSeeker does not persistently store Kalshi market data or account data. Market prices, positions, and account information are fetched on-demand from Kalshi's API each time you use the Platform and are not retained after your session. The only Kalshi-related data we store is a record of trades transacted through our Platform (ticker, side, price, and outcome) for the purpose of displaying your trading history and performance metrics within EdgeSeeker. We do not access or display any Kalshi account activity that occurred prior to you connecting your account, or any activity conducted outside of our Platform.

While we implement industry-standard encryption, no security system is impenetrable. You acknowledge that you provide your credentials at your own risk. OffensiveEdge is not liable for any losses resulting from unauthorized access to your stored credentials, whether caused by a breach of our systems, your own security practices, or any third-party action. You are solely responsible for the security of your Kalshi account, including enabling two-factor authentication on Kalshi and rotating your API credentials periodically.

9.3 Trade Execution Modes

When you connect your Kalshi account and configure your trading preferences, EdgeSeeker can assist with order placement on your Kalshi account. You choose and control the execution mode:

• Approval Required: Orders are created as pending and require your explicit confirmation before submission to Kalshi
• Quick Execute: Orders are submitted to your Kalshi account based on your pre-configured parameters (sizing, exposure limits, sports, and categories) without individual confirmation per trade

By enabling Quick Execute mode, you expressly authorize EdgeSeeker to submit orders to your Kalshi account according to the parameters you have configured. All trading parameters — including sizing, exposure limits, daily loss limits, and eligible sports — are set entirely by you. You may change modes or disconnect your account at any time.

9.4 Auto-Sell and Exit Intelligence

The Platform includes an optional auto-sell feature that monitors open positions and may automatically place sell orders based on configurable exit signals. You should understand:

• Auto-sell orders are not instantaneous. Each exit signal requires multiple consecutive confirmation checks before a sell order is placed. There is an inherent delay between the first detection of a signal and order submission. Market prices may move unfavorably during this delay.
• Safety circuit breakers limit the rate of auto-sell orders. If limits are reached, auto-sell is temporarily paused. During this cooldown, no auto-sell orders will execute, and open positions remain exposed to market movement.
• Per-position cooldowns apply between auto-sell attempts on the same ticker.
• Exit signals are computed client-side based on live price data and your configured thresholds. Signal accuracy depends on data quality, polling connectivity, and market conditions. False positives and false negatives can occur.

9.5 Risk Acknowledgment

By using the Kalshi integration, you acknowledge and agree that:

• Predictions may be wrong, and trades placed through EdgeSeeker may result in losses
• You may lose some or all of the funds in your Kalshi account
• Past performance of ML models does not guarantee future results
• Market conditions, liquidity, and pricing can change rapidly
• OffensiveEdge is not liable for any trading losses, regardless of cause

9.6 User Responsibility

You are solely responsible for:

• Monitoring your Kalshi account and trading activity
• Setting appropriate risk parameters (sizing fraction, maximum bet size, daily exposure limits)
• Ensuring you have sufficient funds in your Kalshi account
• Complying with Kalshi's terms of service and all applicable laws
• Understanding the risks of prediction market trading

9.7 Tax Responsibility

You are solely responsible for determining, reporting, and paying all federal, state, and local taxes arising from your use of the Platform, including but not limited to taxes on prediction market trading profits, capital gains, and any other taxable events. Prediction market profits on Kalshi may constitute taxable income. OffensiveEdge does not provide tax advice and is not responsible for withholding or remitting taxes on your behalf, except as required by applicable law. You should consult a qualified tax professional regarding your specific tax obligations. You consent to receive any tax-related documentation (including Forms 1099, if applicable) electronically.

9.8 No Guarantee of Execution

EdgeSeeker does not guarantee that orders will be placed, filled, or settled. Market conditions, Kalshi API availability, network connectivity, and system errors may prevent order execution. OffensiveEdge is not liable for any losses resulting from failed or delayed order execution.

10. Not Financial or Betting Advice

EdgeSeeker does not provide financial, investment, gambling, or trading advice. All predictions, analysis, ML model outputs, AI responses, and trade execution activity are for informational and entertainment purposes only. The data generated by EdgeSeeker is not a recommendation as to whether or how you should use this data in your own betting or trading strategies. Past performance does not guarantee future results.

• OffensiveEdge is not a registered broker-dealer, investment advisor, or financial services provider under any applicable law
• You are solely responsible for your own betting, trading, and financial decisions
• We do not guarantee the accuracy, completeness, or timeliness of any prediction, analysis, or data
• We are not liable for any losses incurred based on information provided by the Platform
• Predictions should not be the sole basis for any wagering or trading decisions
• Always bet and trade responsibly and within your means

10.1 Performance Data and Testimonials

Any testimonials, case studies, or member statements displayed on the Platform reflect the individual experiences of those users and are not representative of all users. Individual results vary. Testimonials are not guarantees of future performance or outcomes.

Performance statistics displayed on the Platform (including win rate, ROI, and pick counts) are based on historical data and do not predict or guarantee future results. The presentation of performance data does not constitute a guarantee, warranty, or promise of similar outcomes. Prior outcomes (including losses) have no impact on future results. Where performance data reflects hypothetical or simulated results, such data is subject to the limitations described in CFTC Rule 4.41 — see our Disclaimer for the full disclosure.

11. Third-Party Data and Services

EdgeSeeker's predictions are derived from third-party data sources. We do not control and are not responsible for the accuracy, availability, or completeness of third-party data. Betting lines and odds displayed on the Platform may not reflect real-time market conditions. Third-party services used by the Platform (including Kalshi, Anthropic, Supabase, Vercel, Stripe, Sentry, and hCaptcha) are governed by their own respective terms of service and privacy policies.

12. Responsible Gambling

We are committed to promoting responsible gambling. If you or someone you know has a gambling problem:

If you suspect you have a gambling problem, you should disable trade execution and disconnect your Kalshi account immediately and seek help. We encourage all users to set personal limits on their betting and trading activity. Please only gamble with funds you can comfortably afford to lose. If gambling or trading stops being enjoyable, or if you find yourself chasing losses, please seek help immediately.

13. Intellectual Property and Data Rights

All predictions, ML models, algorithms, training methodologies, analysis, content, software, proprietary data, and associated metadata on EdgeSeeker ("Platform Content") are the exclusive property of OffensiveEdge or its licensors and are protected by U.S. and international intellectual property laws. Platform Content is calculated according to the proprietary methods of OffensiveEdge and through the application of methods, creativity, and standards of judgment used and developed through the expenditure of considerable work, time, and money, and may be modified from time to time based on this same or other criteria. All rights, title, and interest therein are expressly reserved by OffensiveEdge.

Platform Content includes, without limitation: predictions, model outputs, win probabilities, edge calculations, confidence scores, trading signals, performance statistics, leaderboard data, AI-generated analysis, market descriptions, and all other content made available through the Platform.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Platform Content only in the form in which it is presented on the Platform, for your personal, non-commercial use in accordance with these Terms. You receive no proprietary rights whatsoever in or to Platform Content. Title and ownership rights in and to Platform Content and all rights therein and legal protections with respect thereto remain exclusively with OffensiveEdge and its licensors. You shall not, and shall not assist any third party to, assert any rights in Platform Content or any component thereof or challenge OffensiveEdge's rights therein.

13.1 Prohibited Data Uses

Unless OffensiveEdge gives you prior written authorization, you are strictly prohibited from selling, licensing, renting, modifying, changing, manipulating, altering, printing, collecting, copying, reproducing, downloading (other than to view only), uploading, transmitting, disclosing, distributing, disseminating, publicly displaying, publishing, editing, adapting, creating derivative works, electronically extracting or scrubbing, scraping, compiling (including, without limitation, through framing or systematic retrieval to create collections, compilations, databases, or directories) or conducting "text and data mining" (as those terms are defined in EU Directive 2019/790) in relation to any Platform Content, or otherwise transferring any Platform Content to any third person (including, without limitation, others in your company or organization).

You may NOT:

• Reproduce, copy, distribute, publish, or transmit Platform Content to any third party
• Share predictions, model outputs, trading signals, or AI-generated analysis with any third party, whether for compensation or not
• Screenshot, screen-record, or otherwise capture and redistribute Platform Content on social media, forums, messaging platforms, or any other channel in a manner designed to replace the need for a subscription
• Provide archived or cached data sets containing Platform Content to another person or entity
• Create derivative works based on Platform Content
• Sell, resell, license, sublicense, or commercially exploit Platform Content
• Reverse engineer, decompile, or disassemble any part of the Platform or its underlying technology
• Use Platform Content to create, calculate, issue, settle, maintain, support, or develop any financial instruments (including but not limited to exchange-traded products, certificates, warrants, contracts for difference, swaps, options, or structured products), indexes, products, or services (including but not limited to portfolio management services, risk management services, or valuation services) or any other derivative works

13.2 AI and Machine Learning Prohibition

For the avoidance of doubt and to the fullest extent permitted by law, use of any Platform Content (including associated metadata) in any manner for any machine learning and/or artificial intelligence purpose is expressly prohibited. This includes, without limitation, use for the purposes of training, fine-tuning, coding, or development of artificial intelligence technologies, tools, or solutions, or machine learning language models, or otherwise for the purposes of using or in connection with the use of such technologies, tools, or models to generate any information, material, data, derived works, content, or output. No prior written consent from OffensiveEdge shall be deemed granted for any AI or ML use unless such consent is provided in a separate, signed agreement.

14. Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Platform
• Analyze, reverse-engineer, or disassemble any Platform Content
• Insert any code or product to manipulate Platform Content in any way that affects any user's experience
• Scrape, crawl, or use automated tools to access the Platform without authorization
• Use any web browsers (other than generally available third-party browsers), engines, scripts, software, spiders, robots, avatars, agents, tools, or other devices or mechanisms (such as crawlers, browser plug-ins and add-ons, or other technology) to navigate, access, copy in bulk, retrieve, harvest, index, search, or analyze any portion of the Platform
• Use bots, scripts, or other automated means to interact with the Platform
• Circumvent any security measures, including encryption, rate limiting, bot detection, or access controls
• Attempt to bypass geographic restrictions using VPNs, proxies, or anonymizing services
• Share your account credentials or allow others to access your account
• Use the Platform for any illegal purpose, including illegal gambling
• Impersonate any person or entity
• Redistribute, resell, or commercially exploit predictions, analysis, or other Platform Content
• Interfere with or disrupt the Platform or its infrastructure
• Create multiple accounts or use another user's account
• Use the Platform in connection with match-fixing, fraud, or any other illegal activity

15. Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Terms or community guidelines
• Suspicious or fraudulent activity
• Unauthorized account sharing or device abuse
• Excessive or abusive use of Platform resources
• Attempts to circumvent security measures
• Legal or regulatory requirements

We are under no obligation to disclose the specific reason for any account action. Upon termination for cause, all rights granted to you under these Terms immediately cease, and no refunds will be issued. Any termination of your access may be effected without prior notice, and we may immediately deactivate or delete your account information and bar any further access. You may contact support@offensiveedge.com to inquire about account restrictions.

16. Subscription, Billing, and Membership Policy

16.1 Non-Refundable

All fees are non-refundable. By purchasing any product on the Platform, you acknowledge and agree that no refunds will be issued for any reason, including but not limited to dissatisfaction with the Platform, partial-month usage, or failure to use the Platform during a billing period.

16.2 Pricing Changes

OffensiveEdge reserves the right to change the pricing of any product, plan, or access tier at any time, without prior notice. This includes, without limitation, subscription fees, pass prices, and any promotional or introductory rates. Price changes take effect at the start of your next billing period. Active subscribers will be notified of price changes and may choose to continue their subscription at the new rate or cancel before the next billing date. If you do not cancel before your next billing date, you will be charged at the new rate, and continued use of the Platform constitutes acceptance of the updated pricing. No refunds or credits will be issued for price changes.

16.3 Introductory and Promotional Pricing

OffensiveEdge may offer introductory, promotional, founding member, or limited-time pricing at its sole discretion. Such pricing is temporary and subject to change or discontinuation at any time without notice. Introductory pricing does not establish a guaranteed rate for any future billing period. When promotional pricing ends, your subscription will automatically renew at the then-current standard rate unless you cancel before the next billing date.

16.4 Product and Plan Changes

OffensiveEdge reserves the right to modify, discontinue, or replace any product, plan, or access tier at any time, without prior notice. This includes, without limitation, the right to discontinue day passes, week passes, month passes, or any other access product and to transition the Platform to a subscription-only model or any other pricing structure. When a product or plan is discontinued, existing purchases will be honored through their remaining access period, but no new purchases of that product will be available. Users on discontinued plans will be given the option to transition to an available plan or cancel. OffensiveEdge is under no obligation to offer equivalent pricing or terms when transitioning between pricing models.

16.5 Cancellation and Access

You may cancel your subscription at any time through the billing portal accessible from your profile. Upon cancellation, you retain access to the Platform through the end of your current billing period. No prorated refunds are provided for unused portions of a billing period.

16.6 Membership Forfeiture and Cooldown

Membership may be limited to a fixed number of spots. Upon cancellation, your spot is forfeited immediately and enters a 30-day cooldown period. After the cooldown period, re-entry is subject to availability. There is no guarantee that a spot will be available when you wish to re-subscribe, or that re-entry will be offered at the same price or terms. We reserve the right to modify membership limits at any time without notice.

16.7 Billing

Subscriptions are billed monthly in advance. You authorize us to charge the payment method on file for all recurring fees at the then-current rate. Failed payments may result in suspension of access. All payment processing is handled by Stripe, Inc., a PCI-DSS compliant payment processor. Your payment information is transmitted directly to Stripe and is not stored on our servers.

16.8 Automatic Renewal

Your subscription will automatically renew at the end of each billing period at the then-current subscription rate unless you cancel before the renewal date. The renewal rate may differ from your initial or previous rate due to pricing changes, expiration of promotional pricing, or plan transitions. You will be charged the applicable subscription fee on each renewal date unless you cancel prior to that date. You may cancel at any time through the billing portal accessible from your profile. Cancellation must be completed before the next billing date to avoid being charged for the subsequent period. If required by applicable law, we will provide you with a reminder before each renewal.

16.9 Passes

Passes (including day passes, week passes, and month passes) provide access to the Platform for a fixed duration as described at the time of purchase. All passes are measured in Eastern Time. Passes are non-refundable, non-transferable, and expire at the end of their designated access period regardless of the time of purchase. Passes do not create a subscription and do not include access to the Platform beyond the purchased period. Passes are a limited-time offering and may be modified, repriced, or discontinued at any time without notice.

17. Indemnification

You agree to indemnify, defend, and hold harmless OffensiveEdge, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Platform
• Your trading or betting activity, including any reliance on predictions or analysis
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any unauthorized use of your account
• Content you post or transmit through the Platform
• Your violation of any third-party rights, including intellectual property rights
• Any government or regulatory action resulting from your use of the Platform

18. Limitation of Liability

To the fullest extent permitted by applicable law, OffensiveEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to:

• Financial losses from betting or trading activity
• Inaccurate predictions or AI-generated analysis
• Errors in third-party data
• System downtime, outages, or interruptions
• Unauthorized access to your account or credentials
• Failed, delayed, or incorrect order execution on Kalshi
• Account suspension or termination

In no event shall OffensiveEdge's total aggregate liability exceed the greater of one hundred U.S. dollars ($100) or the total fees paid by you to OffensiveEdge in the twelve (12) months preceding the claim.

Without limiting the foregoing, OffensiveEdge's total liability for any and all claims arising from or related to the Kalshi trading integration or any trade submitted through the Platform shall be limited to zero dollars ($0). You expressly acknowledge that by enabling trade execution, you accept all risk of financial loss from trading activity, and OffensiveEdge bears no financial responsibility for trading outcomes.

19. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranties arising from course of dealing or usage of trade.

OffensiveEdge does not warrant that:

• Predictions will be accurate or profitable
• The Platform will be uninterrupted, error-free, or secure
• Third-party data will be accurate or timely
• The Kalshi API or any third-party service will be available
• Defects will be corrected

Any reliance you place on predictions, analysis, AI responses, or any other information provided by the Platform is strictly at your own risk.

20. Force Majeure

OffensiveEdge shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, riots, government action, power failures, internet or telecommunications failures, third-party service outages (including Kalshi, Anthropic, Supabase, Stripe, and data providers), cyberattacks, DDoS attacks, or any other force majeure event. During such events, our obligations under these Terms are suspended for the duration of the event. No refunds or credits will be issued for service interruptions caused by force majeure events.

21. Dispute Resolution and Arbitration

21.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@offensiveedge.com and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved within this period, either party may proceed to binding arbitration as described below.

21.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Texas. The arbitrator's decision shall be final and binding.

21.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against OffensiveEdge.

21.4 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to support@offensiveedge.com within 30 days of first accepting these Terms. Your notice must include your name, phone number associated with your account, and a clear statement that you wish to opt out of arbitration.

21.5 Exceptions

Either party may bring claims in small claims court if the claims qualify. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

21.6 Time Limitation

Any claim or cause of action arising out of or related to your use of the Platform or these Terms must be filed within one (1) year after such claim or cause of action arose. Any claim filed after this period is permanently barred.

22. Governing Law and Jurisdiction

The Platform is operated from and intended for users in the United States. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Texas. By using the Platform, you consent to the exclusive jurisdiction of these courts.

We do not target, market to, or solicit users outside the United States. If you access the Platform from outside the United States, you do so at your own initiative and are solely responsible for compliance with applicable local laws.

23. Electronic Communications Consent

By creating an account, you consent to receive communications from us electronically, including via email, SMS, in-platform notifications, and notices posted on the Platform. You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

You may withdraw this consent by contacting support@offensiveedge.com, but doing so may result in termination of your account, as electronic communication is required to use the Platform.

24. DMCA and Copyright Policy

If you believe any content on the Platform infringes your copyright, you may submit a takedown notice to our designated DMCA agent at support@offensiveedge.com. Your notice must include:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the infringing material and its location on the Platform
• Your contact information (name, address, telephone number, and email)
• A statement of good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement under penalty of perjury that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

We reserve the right to remove content and terminate accounts of repeat infringers in accordance with the Digital Millennium Copyright Act.

25. Modification of Services

We reserve the right to modify, suspend, or discontinue any feature, functionality, or service offered through the Platform at any time, with or without notice. This includes but is not limited to: supported sports leagues, prediction models, AI features, trade execution capabilities, and third-party integrations. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of any Platform feature or service.

26. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

27. No Waiver

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or our right to enforce it at a later time. A waiver of any provision shall be effective only if made in writing and signed by an authorized representative of OffensiveEdge.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

29. Survival

The following sections shall survive any termination or expiration of these Terms or your account: Section 4 (Personal Use Only), Section 8.4 (Content License), Section 9.5 (Risk Acknowledgment), Section 10 (Not Financial or Betting Advice), Section 13 (Intellectual Property), Section 14 (Prohibited Conduct), Section 16 (Subscription, Billing, and Membership Policy), Section 17 (Indemnification), Section 18 (Limitation of Liability), Section 19 (Disclaimer of Warranties), Section 20 (Force Majeure), Section 21 (Dispute Resolution and Arbitration), Section 22 (Governing Law), and any other provisions that by their nature should survive termination.

30. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, and any other policies referenced herein, constitute the entire agreement between you and OffensiveEdge regarding your use of the Platform. These Terms supersede all prior or contemporaneous understandings, representations, warranties, and agreements, whether written or oral, regarding the Platform. No statement, representation, warranty, or agreement not contained in these Terms shall be binding on either party.

31. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via the Platform or by email. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
